Terms of Service & End-User License Agreement

1. Definitions
“ScriptAssist,” “we,” “us,” or “our” means SlideSource, Inc. “Software” means the ScriptAssist desktop application and any updates. “Services” means the Software together with the online features we provide (account, AI script generation, and subscription management). “You” means the individual or organization that has accepted this Agreement.
2. License grant
Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your own presentation use, on the number of devices/seats associated with your subscription tier. Each paid seat is for one named user.
3. Subscriptions, free trial & billing
- Plans. ScriptAssist is offered as a subscription in Standard and Pro tiers, billed monthly or annually as shown on our Pricing page.
- Free trial. New subscriptions include a 7-day free trial. A valid payment method is required to start the trial. Unless you cancel before the trial ends, your subscription automatically converts to the paid plan you selected and your payment method is charged.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. You can cancel at any time; see our Refund & Cancellation Policy.
- Payment processing & reseller. Our order process and payments are conducted by our online reseller and Merchant of Record, Paddle.com, which handles the transaction, billing inquiries, and applicable taxes. Your purchase is subject to Paddle’s buyer terms in addition to this Agreement.
- Taxes. Prices may be exclusive of applicable sales tax, VAT, or GST, which are calculated and collected at checkout.
4. AI script features
Pro plans include AI-assisted script generation. When you choose to use it, the content of the relevant slide (its title, on-slide text, and your speaker notes) is sent to our service and processed by a third-party AI provider (Microsoft Azure OpenAI) to generate a suggested spoken script. You are responsible for reviewing, editing, and approving any AI-generated content before use. AI output may be inaccurate or unsuitable and is provided for drafting assistance only; it is not professional, medical, legal, regulatory, or compliance advice. You remain solely responsible for the accuracy and appropriateness of your presentations. See our Privacy Policy for how this data is handled.
5. Screen-privacy features (not a security guarantee)
ScriptAssist can hide your script from a screen share or recording using operating-system capture-exclusion. This is a privacy aid, not a security or DRM guarantee. Specialized capture methods, certain hardware or software configurations, or a photograph of your screen could still reveal your script. Do not rely on this feature where disclosure of the script would cause harm, and use your own judgment in regulated or sensitive settings.
6. Acceptable use
You agree not to: (a) copy, resell, sublicense, rent, or redistribute the Software; (b) reverse engineer, decompile, or attempt to derive source code except as permitted by law; (c) circumvent licensing, entitlement, or usage limits; (d) use the Services unlawfully or to infringe others’ rights; or (e) use the AI features to generate unlawful, harmful, or abusive content.
7. Intellectual property
We and our licensors own all rights in the Software and Services. You own your own content (your slides, notes, and scripts). You grant us a limited license to process your content solely to provide the Services to you (for example, to generate a script when you request it).
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLIDESOURCE, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Termination
You may stop using the Services and cancel your subscription at any time. We may suspend or terminate access if you breach this Agreement or fail to pay. On termination, the license in Section 2 ends and you must stop using the Software.
11. Changes
We may update the Services and these terms from time to time. Material changes will be posted here with an updated date; continued use after changes take effect constitutes acceptance.
12. Governing law
This Agreement is governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules, except where mandatory consumer-protection laws of your country of residence apply.
